By accessing or using Tally ("the Service"), operated by Tally Quoter ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Tally is a Shopify application that provides:

• Automated gang sheet generation for print businesses
• Image upload and processing functionality
• Automatic pricing calculations based on image dimensions
• AI-powered image editing tools
• Integration with Shopify stores

3. Account Registration

To use Tally, you must:

• Have an active Shopify store
• Install Tally through the Shopify App Store
• Provide accurate and complete information
• Maintain the security of your account credentials

You are responsible for all activities that occur under your account.

4. Subscription and Payment

Tally is offered on a subscription basis. By subscribing, you agree to:

• Pay all applicable fees as described in your selected plan
• Provide valid payment information
• Accept automatic recurring billing unless cancelled

Subscriptions are billed through Shopify's billing system. Refunds are handled according to our Refund Policy.

5. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Upload content that infringes on intellectual property rights
• Attempt to reverse engineer, hack, or compromise the Service
• Resell or redistribute the Service without authorization
• Upload malicious files or code
• Interfere with other users' access to the Service

6. Intellectual Property

Our Property: Tally, including its code, design, features, and branding, is owned by Tally Quoter. You receive a limited license to use the Service, not ownership.

Your Content: You retain ownership of images and content you upload. By uploading, you grant us a limited license to process and display your content as necessary to provide the Service.

7. Data and Privacy

Your use of Tally is also governed by our Privacy Policy. We process data as necessary to provide the Service and comply with legal obligations.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance with advance notice when possible
• Suspend service for security or technical reasons
• Modify features or functionality with reasonable notice

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid by you in the 12 months preceding any claim

10. Indemnification

You agree to indemnify and hold harmless Tally Quoter from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

11. Termination

Either party may terminate this agreement:

• You may cancel your subscription at any time through Shopify
• We may suspend or terminate accounts that violate these terms
• Upon termination, your access to the Service will end

12. Changes to Terms

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the new terms. Material changes will be communicated via email or in-app notification.

13. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of applicable jurisdiction.
